1. Acceptance of Terms

By accessing or using Mechanical Workshop ("the Platform", "we", "us", "our") at mechanicalworkshop.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you and Mechanical Workshop regarding your use of our services.

2. Description of Service

The Platform is a public forum dedicated to the publication and discussion of machinery and equipment SEO/GEO articles, including but not limited to industrial machinery, construction equipment, agricultural machinery, and related technical content.

We provide users with the ability to:

  • Publish articles, images, videos, and comments
  • Interact with other users through likes, bookmarks, and private messages
  • Access advertising-supported content

We reserve the right to modify, suspend, or discontinue any part of the service at any time.

3. User Accounts

3.1 Eligibility

You must be at least 16 years old to create an account and use the Platform. By registering, you represent that you meet this requirement.

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your password
  • You are fully responsible for all activities that occur under your account
  • Notify us immediately of any unauthorized use

You may delete your account at any time through your account settings or by contacting us at privacy@mechanicalworkshop.com.

3.4 Account Termination by Us

We reserve the right to suspend or terminate your account at our discretion for violations of these Terms, without prior notice or liability.

4. User Content

4.1 Definition

"User Content" means any articles, comments, images, videos, profiles, messages, or other materials you post, upload, or otherwise make available on the Platform.

4.2 Public Nature of Content

All User Content you publish is publicly visible and may be indexed by search engines. Do not post information you wish to keep private.

4.3 License You Grant to Us

By posting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and promoting the Platform.

This license includes the right to:

  • Display your content to other users and visitors
  • Modify content for formatting or technical optimization (e.g., image compression, responsive layout)
  • Include your content in promotional materials or platform showcases (with attribution)

This license continues even if you stop using the Platform, solely to the extent necessary for us to maintain archived copies or backups. However, upon account deletion, we will cease active display of your content within a reasonable time.

4.4 Content Standards

You agree that your User Content will not:

  • Violate any applicable law or regulation
  • Infringe upon intellectual property rights, privacy rights, or publicity rights of any third party
  • Contain false, misleading, or fraudulent information (e.g., fake machinery specifications, counterfeit equipment listings)
  • Contain malware, spam, or malicious links
  • Promote illegal activities, hate speech, or violence
  • Be sexually explicit or obscene
  • Constitute unauthorized advertising or solicitation (except as permitted in designated areas)

4.5 EXIF Data Warning

Images and videos may contain metadata (EXIF) including GPS location and device information. You are responsible for removing sensitive metadata before uploading. We are not liable for any disclosure of location or other metadata through uploaded files.

5. Content Moderation & Removal

5.1 Our Right to Moderate

We reserve the right, but not the obligation, to review, monitor, or remove User Content at our sole discretion. We may use automated tools and manual review for moderation.

5.2 Grounds for Removal

We may remove content or suspend accounts for:

  • Violation of these Terms
  • Copyright or trademark infringement claims
  • Spam, abuse, or harassment
  • Technical issues (malware, broken links, security risks)
  • Requests from law enforcement or regulatory authorities

5.3 DMCA Copyright Policy

We comply with the Digital Millennium Copyright Act (DMCA). If you believe content on the Platform infringes your copyright, please send a DMCA Notice to privacy@mechanicalworkshop.com containing:

  • Physical or electronic signature of the copyright owner
  • Identification of the copyrighted work
  • Identification of the infringing material and its location on the Platform
  • Your contact information
  • A statement of good faith belief that the use is not authorized
  • A statement that the information is accurate, under penalty of perjury

Upon receiving a valid DMCA notice, we will remove or disable access to the allegedly infringing material and notify the user who posted it. Repeat infringers will have their accounts terminated.

6. Intellectual Property

6.1 Platform Content

All content provided by the Platform itself (excluding User Content), including logos, trademarks, software, design, and text, is owned by us or our licensors and protected by intellectual property laws.

6.2 Trademarks

"Mechanical Workshop" and our logos are trademarks. You may not use them without our prior written consent.

7. Prohibited Conduct

In addition to content standards in Section 4.4, you agree not to:

  • Use automated systems (bots, scrapers) to access the Platform without authorization
  • Circumvent any security measures or access controls
  • Impersonate any person or entity
  • Interfere with other users' accounts or content
  • Collect or harvest personal information of other users
  • Click on your own advertisements or use any means to artificially inflate ad impressions or clicks (fraudulent ad activity)
  • Use the Platform to distribute unsolicited commercial messages (spam)
  • Reverse engineer or decompile any part of the Platform

8. Advertising

8.1 Third-Party Advertising

The Platform displays advertisements served by Google AdSense and other third-party advertising partners. These advertisements may be targeted based on your interests and browsing behavior.

8.2 Your Agreement Regarding Ads

By using the Platform, you acknowledge and agree that:

  • We may display ads on any page of the Platform, including near or within User Content
  • We are not responsible for the content of third-party advertisements
  • Clicking on ads is at your own risk; we are not responsible for products, services, or claims made by advertisers
  • You will not engage in click fraud, including clicking your own ads or encouraging others to do so

8.3 Ad-Blocking

While we do not prohibit the use of ad-blocking software, we reserve the right to restrict access to certain features for users who block ads, as advertising revenue supports Platform operations.

9. Third-Party Links

The Platform may contain links to third-party websites. We are not responsible for the content or practices of any third-party sites.

10. Disclaimers

10.1 "As Is" Basis

THE PLATFORM AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

10.2 No Warranty

We expressly disclaim all warranties, whether express or implied, including but not limited to:

  • Merchantability, fitness for a particular purpose, and non-infringement
  • Accuracy, completeness, or reliability of User Content or machinery/equipment specifications published by users
  • Uninterrupted, secure, or error-free service
  • That the Platform is free of viruses or other harmful components

10.3 Machinery Content Disclaimer

User Content regarding machinery specifications, safety procedures, operational guidelines, or equipment reviews is for informational purposes only. We do not verify the accuracy, safety, or completeness of such content. Always consult manufacturer documentation and qualified professionals before operating or purchasing machinery.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or USD $100, whichever is greater
  • We are not liable for User Content, conduct of other users, or third-party advertisements

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above may not fully apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mechanical Workshop and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Platform
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

13.1 Termination by You

You may stop using the Platform and delete your account at any time.

13.2 Termination by Us

We may suspend or terminate your access to the Platform immediately, without prior notice or liability, for any reason, including:

  • Breach of these Terms
  • Fraudulent activity (including ad click fraud)
  • Repeated copyright infringement
  • Behavior that harms other users or the Platform

13.3 Effect of Termination

Upon termination:

  • Your right to use the Platform ceases immediately
  • We may retain certain data as required by law or for legitimate business purposes (e.g., fraud prevention, legal disputes)
  • Provisions that by their nature should survive termination shall survive (including intellectual property, disclaimers, indemnification, and limitation of liability)

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation.

If negotiation fails:

  • For users in the European Union, you may also bring claims in the courts of your country of residence
  • For all other users, disputes shall be resolved by binding arbitration in New York, USA under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction

Class Action Waiver: You agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Platform.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

We may assign these Terms without restriction. You may not assign these Terms without our prior written consent.

16. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on the Platform with a new "Last Updated" date
  • Sending an email to registered users
  • Displaying a prominent notice upon login

Continued use of the Platform after changes constitutes acceptance of the revised Terms.
